Terms of Service

By accessing or using the Stylish Ambience platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use the platform.

These terms constitute a legally binding agreement between you (or the organisation you represent) and Stylish Ambience Ltd, a company registered in England and Wales.

By signing up, you confirm that you have the authority to enter into this agreement on behalf of your organisation.

If you use Guest Requests as a guest at a participating venue, you agree to the Guest Requests provisions of these terms (including payment, credits, playback, and refunds) insofar as they apply to you.

Stylish Ambience provides a subscription-based background music platform for hospitality venues. The service includes:

• Access to the Stylish Ambience web player and management dashboard
• Continuously programmed, DJ-curated music adapted by time of day and day of week
• Venue control features including Boost, Chill, and Specials (where enabled)
• Optional Guest Requests (where enabled by the venue)
• Access to music licensed for commercial use in hospitality environments

Guest Requests is an optional feature available on participating venues. It allows guests to request music approved by the venue, subject to venue policies and the terms set out in section 6. Availability is controlled by the venue and may vary by venue, session, or operating hours. Stylish Ambience does not guarantee that every request will be played.

We reserve the right to modify, update, or discontinue features of the service at any time. Where changes materially affect your use of the platform, we will provide reasonable notice.

We offer a 7-day free trial to new customers. The trial gives full access to the platform at no cost.

• No credit card is required to start a trial.
• At the end of the trial, you may choose to subscribe to a paid plan.
• If you do not subscribe, access to the platform will cease at the end of the trial period.
• Each organisation is entitled to one free trial.

Paid subscriptions are billed monthly or annually in advance, depending on the plan selected. By subscribing, you authorise us to charge the payment method on file at the start of each billing period.

• All prices are shown exclusive of VAT unless stated otherwise.
• VAT will be added at the applicable UK rate at checkout.
• Subscriptions renew automatically unless cancelled before the renewal date.
• We will notify you in advance of any price changes.
• Payment is processed by a third-party payment provider. We do not store your full card details.

If a payment fails, we will attempt to contact you. Access to the platform may be suspended until the outstanding amount is settled.

Guest Request purchases by guests are separate from venue subscriptions and are governed by section 6. Purchasing Guest Requests does not create an ongoing subscription.

You may cancel your subscription at any time from your account settings or by contacting us at hello@stylishambience.co.uk.

• Cancellation takes effect at the end of the current billing period.
• You will retain access to the platform until the period ends.
• We do not offer partial refunds for unused time within a billing period, except where required by law.
• If you cancel during a free trial, no charge will be made.

For annual subscriptions cancelled within 14 days of the initial purchase, you may be entitled to a refund under UK consumer law. Contact us to request this.

Cancelling a venue subscription does not retrospectively affect completed Guest Request purchases. Refunds relating to Guest Requests are governed by section 6.

Definitions. In this section: Guest Requests means the optional feature that allows guests at participating venues to request music approved by the venue; Request Credits means credits that may be used to submit Guest Requests at the venue and session for which they were issued; and Guest Request Session means the period during which Guest Requests are available at a venue under that venue's configuration and operating policies.

TODO — legal identity of the seller (confirmation required before publication). The identity of the contracting seller of paid Guest Requests must be confirmed and then stated consistently in these terms, at checkout, on receipts, in refund communications, and in the Privacy Policy. Pending confirmation, one of the following models will apply:

• the participating venue supplies the paid Guest Request, and Stylish Ambience Ltd acts as its technology and administration provider; or
• Stylish Ambience Ltd supplies the paid Guest Request directly.

Until that confirmation is made and this TODO is replaced with final wording, these Guest Requests provisions describe how the feature works and how payment, credits, playback, and refunds are handled. They do not, by themselves, designate Stylish Ambience Ltd as merchant of record.

6.1 Availability and configuration. Guest Requests may be configured by the venue as Off, Included (free to guests), or Paid. The venue determines whether Guest Requests are available, and availability may vary by venue, Guest Request Session, or operating hours. Guests may only request music approved by the venue and subject to venue policies. Guest Requests are not an unrestricted selection service; they form part of Stylish Ambience's managed atmosphere.

6.2 Guest Request payments. Where Guest Requests are offered on a paid basis:

• Purchases are processed securely through Stripe
• Payment is required before paid Request Credits are issued
• Prices are displayed before purchase
• Payment methods are those made available by Stripe at checkout
• Payment records are retained for payment administration, support, fraud prevention, reconciliation, and legal compliance, in accordance with our Privacy Policy

6.3 Request Credits. Request Credits may be paid, free (Included), or promotional. In all cases, Request Credits:

• May only be used for the venue and Guest Request Session for which they were purchased or issued
• Have no cash value and are not redeemable for money except where a refund is due under section 6.5 or applicable UK consumer law
• Cannot be transferred between venues, guests, or users

Free or promotional Request Credits may expire when the applicable Guest Request Session ends, and unused free or promotional credits are not refundable as cash.

Paid Request Credits are intended for use during the Guest Request Session for which they were purchased. If paid Request Credits remain unused when that session ends, or if a paid request is not delivered, any refund or other remedy is assessed under section 6.5 and applicable UK consumer law. Nothing in this section treats unused paid credits as automatically forfeited without review where a remedy may be due.

6.4 Playback. Submitting a Guest Request does not guarantee immediate playback. Where accepted, requests are inserted into the managed atmosphere at an appropriate point, subject to venue policies, operating hours, and applicable playback rules. Stylish Ambience does not promise that every request will play. Where a guest has paid for Request Credits and a paid request is not delivered, refund eligibility is assessed under section 6.5.

6.5 Guest Request refunds. Stylish Ambience may review paid Guest Request purchases where a paid request could not be delivered, or where paid Request Credits remain unused in circumstances that may give rise to a refund. Eligibility is assessed using available payment, request, and playback records. Cases may require investigation. Refunds are not automatic. Where a refund is approved, it will be returned to the original payment method. Fraudulent or abusive claims may be rejected. A change of mind after a successful purchase does not, of itself, entitle a guest to a refund.

Nothing in this section affects any rights you may have under applicable UK consumer law that cannot be excluded or limited.

6.6 Separation from subscription. Guest Request purchases are separate from the venue's monthly Stylish Ambience subscription. Purchasing Guest Requests does not create an ongoing subscription for the guest. Cancelling a venue subscription does not retrospectively affect completed Guest Request purchases.

You agree to use the platform only for its intended purpose and in compliance with all applicable laws. You must not:

• Share login credentials between multiple venues or organisations without a separate licence
• Attempt to reverse engineer, copy, or redistribute any part of the platform or its content
• Use the platform in a way that disrupts or damages the service for other users
• Use the platform to play music in any unlicensed public setting
• Circumvent any technical measures or security controls
• Attempt to manipulate Guest Request payments or payment outcomes
• Exploit promotional offers relating to Guest Requests in a fraudulent or abusive manner
• Interfere with the Guest Requests service or other guests' use of it
• Make automated, bulk, or fraudulent Guest Request purchases

We reserve the right to suspend or terminate access where these terms are breached.

All music provided through the Stylish Ambience platform is licensed for commercial use in hospitality venues via PRS & PPL through an approved licensing partner.

Your subscription covers the right to play this music through the platform in your venue. It does not transfer ownership of any music or grant rights beyond those described here.

You are responsible for ensuring your venue holds its own valid PRS & PPL licence to play music publicly. Stylish Ambience does not assume liability for venues operating without the required public performance licences.

All content, software, design, and materials on the Stylish Ambience platform — including but not limited to the music library, user interface, and branding — are owned by or licensed to Stylish Ambience Ltd.

Nothing in these terms grants you ownership of any intellectual property. You may not copy, reproduce, or create derivative works from any part of the platform without our prior written consent.

To the fullest extent permitted by UK law, Stylish Ambience Ltd shall not be liable for:

• Loss of revenue, profit, or business resulting from service interruption
• Loss of data or damage caused by third-party systems or network failures
• Any indirect, incidental, or consequential damages arising from use of the platform
• Failure of Guest Request playback or delivery arising from circumstances outside our reasonable control, including venue closure, network failure, hardware failure, power loss, or third-party payment outages

Our total liability to you for any claim arising from these terms or your use of the platform shall not exceed the total amount paid by you in the 12 months preceding the claim. For a Guest Request purchase by a guest, our total liability in respect of that purchase shall not exceed the amount paid for the relevant purchase, except where a higher limit is required by law.

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded under UK law.

We aim to provide a reliable, high-availability service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.

The platform includes offline caching to reduce the impact of internet outages at your venue. However, we are not responsible for playback failures caused by hardware, network, or third-party service issues outside our control.

Either party may terminate the agreement at any time in accordance with the cancellation terms above.

We may suspend or terminate your access immediately, without notice, if:

• You breach these terms and fail to remedy the breach within 7 days of notification
• You fail to pay any amounts due and the failure continues for more than 14 days
• We are required to do so by law or regulatory authority

On termination, your access to the platform and its content will cease. Any data we hold will be handled in accordance with our Privacy Policy.

We may update these terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will notify you by email or via the platform with at least 14 days' notice.

Continued use of the platform after the notice period constitutes acceptance of the updated terms. If you do not accept the changes, you may cancel your subscription before they take effect.

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in Scotland or Northern Ireland, you may also have the right to bring proceedings in your local courts.
